GENERAL CONDITIONS FOR THE USE OF THE PORTAL

1. LEGAL CONDITIONS AND THEIR ACCEPTANCE

These general conditions (hereinafter, the "General Conditions") regulate the use of the esoccer.com.es Internet portal service (hereinafter, the "Portal") that GLOBAL SPORTS EVENTS S.L. places at the disposal of Internet users free of charge. The use of the Portal gives the condition of Portal user (hereinafter, the "User") and expresses full acceptance by the User without reserves of each and every one of the General Conditions in the version published by GLOBAL SPORTS EVENTS S.L. at the same moment that the User accesses the Portal. Consequently, the User must read the General Conditions carefully on each occasion that he proposes to use the Portal. The use of certain services offered to Users via the Portal is subject to particular conditions that, according to the case, substitute, complete and/or modify the General Conditions (hereinafter, the "Particular Conditions"). Before using these services, therefore, the User also has to read the corresponding Particular Conditions with care. Likewise, the use of the Service is also subject to all the warnings, regulations on use and instructions provided for the User by GLOBAL SPORTS EVENTS S.L., they complete that laid down in these General Conditions provided they are not opposed.

2. OBJECT

Via the Portal, GLOBAL SPORTS EVENTS S.L. gives Users access and use of various services and contents placed at the disposal of the Users by GLOBAL SPORTS EVENTS S.L. or third party providers of services and contents (hereinafter, the "Services"). GLOBAL SPORTS EVENTS S.L reserves the right to modify the presentation and configuration of the Portal unilaterally, any moment and without any previous warning, together with the Services and the conditions required for using the Portal and the Services.

3. INFORMATION AND GENERAL CONDITIONS FOR THE USE OF THE PORTAL

GLOBAL SPORTS EVENTS S.L., in compliance with Act 34/2002, of 11th July, on Services for the Information and E-commerce Society, places its identifying data at your disposal and informs you that, by means of accepting these General Conditions, you expressly state that you wish to receive business communications by means of e-mail on the offers, promotions and new services that we can offer you in GLOBAL SPORTS EVENTS S.L. If, at any moment, you decide not to continue receiving these business communications, you can go to the addresses given below. 4. CONDITIONS FOR ACCESS AND USE OF THE PORTAL

4.1. The free nature of access and use of the Portal

The provision of the Portal service on the part of GLOBAL SPORTS EVENTS S.L. is free of charge for Users and does not require any previous subscription or registration by the User. Notwithstanding this, the Services can only be used by means of the subscription or registration of the User and/or payment of a price, in the manner expressly indicated in its corresponding Particular Conditions.

4.2. Obligation to make correct use of the Portal and the Services

The User agrees to use the Portal and the Services in accordance with the law and these General Conditions, and also observing the good, moral customs generally accepted and public order. The User is obliged to abstain from using the Portal and the Services for illicit purposes and effects, contrary to that established in these General Conditions, that are harmful to the rights and interest of third parties, or which, in any other manner can harm, disable, overload or deteriorate the Portal and the Services or prevent normal use or of enjoyment of the Portal and of the Services on the part of the Users.

4.3. Means for obtaining the Contents

The User will abstain from obtaining and even attempting to obtain information, messages, graphics, drawings, sound and/or image files, Photographs, recordings, software and, in general, any class of material accessible via the Portal and the Services (hereinafter, the "Contents") by means or procedures that are different from those that, according to the case, have been placed at your disposal for this purpose or are indicated for this purpose in the web pages where the Contents are to be found or, in general, those that are normally used on the Internet for this purpose always provided that they do not run any risk of harming or disabling the Portal, the Services and/or the Contents.

4.4. Correct use of the Contents

The User has the obligation to use the Contents diligently, correctly and legally and, in particular, agrees to abstain from:

  1. using the Contents for purposes or effects contrary to the law and to the good, moral customs generally accepted or to public order;
  2. reproducing or copying, distributing, permitting access to the public via any means of public communication, transforming or modifying the Contents, unless the authorisation of the owner of the corresponding rights has been obtained or it is legally permitted;
  3. suppressing, eluding or manipulating the "copyright" and other identifying data of the GLOBAL SPORTS EVENTS S.L. rights or its owners included in the Contents, together with technical protection devices, digital fingerprints or any means of information that the Contents can contain;
  4. using the Contents and, in particular, information of any class obtained via the Portal or the Services to send advertising or communications with the purpose of direct selling or any other type of business purpose, un-requested messages intended for large numbers of people independently of their purpose, and also to abstain from selling or divulging information in any way.

4.5. Introduction of hyper-links that allow access to the Portal and Services web page.

The users and, in general, those people who are proposing to establish a hyper-link between their web page and the Portal (hereinafter, the "Hyper-link ") must comply with the following conditions:

  1. the Hyper-link will only allow access to the Portal web page, but will not be able to reproduce this in any way;
  2. hyper-links will not be established with the Portal web pages other than the home-page or first page of the Portal or the Services;
  3. neither a browser nor a border environment will be created on the Portal web pages;
  4. no false, inexact or incorrect statements or indications will be made on the Portal or Services web pages and, in particular, it will not be declared or given to understand that GLOBAL SPORTS EVENTS S.L. has authorised the Hyper-link or that it has supervised or taken over the contents or services offered or placed at the disposition of the web page in which the Hyper-link is established in any way;
  5. the only exception is those signs that form part of the Hyper-link itself, the web page on which the Hyper-link is established will not contain any trade mark, business name, establishment sign, name, logotype, slogan or other distinctive signs belonging to GLOBAL SPORTS EVENTS S.L;
  6. the web page on which the Hyper-link is established will not contain illicit information or contents contrary to the good, moral and customs generally accepted and to public order, and neither will it contain contents contrary to any rights of third parties. The establishment of the Hyper-link does not, in any circumstances, imply the existence of relations between GLOBAL SPORTS EVENTS S.L. and the owner of the web page in which it is established, or the acceptance and approval on the part of GLOBAL SPORTS EVENTS S.L. of its contents or services.

4.6. Responsibility for damages

The User will be responsible for damages of any nature that GLOBAL SPORTS EVENTS S.L. may suffer, directly or indirectly, as a consequence of any failure to comply with the obligations derived from the General Conditions or the law with regard to the use of the Portal.

5. DATA OF A PERSONAL NATURE

In order to use any of the Services, Users will previously provide GLOBAL SPORTS EVENTS S.L. with certain data of a personal nature (hereinafter, the "Personal Data"). GLOBAL SPORTS EVENTS S.L. will process the Personal Data automatically in accordance with that established in Organic Law 15/1999, of 13th December, on the Protection of Data of a Personal Nature. The Personal Data may be included in computer files, files that GLOBAL SPORTS EVENTS S.L. will keep in due conditions for guaranteeing the security of the Data and preventing its being altered, lost, processing or accessed without permission. 6. USE OF COOKIE TECHNOLOGY

GLOBAL SPORTS EVENTS S.L. uses cookie technology when a User surfs the Portal web sites and pages. Our cookies are only associated with an anonymous user and his computer and do not provide references that will permit the name and surnames of the User to be deduced. GLOBAL SPORTS EVENTS S.L. cookies cannot read data from your hard disk or read the cookie files created by other suppliers. GLOBAL SPORTS EVENTS S.L. encodes the identifying data of the User for greater security. Thanks to cookies, it is possible for GLOBAL SPORTS EVENTS S.L. to recognise Users registered after these have been registered for the first time, without having to register on each visit to access the areas and services reserved exclusively for them. The User has the possibility of configuring his browser in order to be advised on the screen of the reception of cookies and to prevent the installation of cookies on his hard disk. 7. USE OF THE PORTAL, THE SERVICES AND THE CONTENTS UNDER THE EXCLUSIVE RESPONSIBILITY OF THE USER

The User is aware and voluntarily accepts that the use of the Portal, the Services and the Contents takes place, in all cases, under his sole and exclusive responsibility.

8. EXCLUSION FROM GUARANTEES AND RESPONSIBILITY

8.1. Exclusion from guarantees and responsibility for the functioning of the Portal and of the Services

8.1.1. Availability and continuity, use and fallibility

GLOBAL SPORTS EVENTS S.L. does not guarantee the availability and continuity of the functioning of the Portal and the Services. When it is reasonably possible, it will give previous warning of any interruptions in the functioning of the Portal and the Services. Neither does GLOBAL SPORTS EVENTS S.L guarantee the use of the Portal and the Services for performing any activity in particular, or its infallibility and, in particular, although not exclusively, that Users will be able to effectively use the Portal and the Services, access the different web pages that form the Portal or those from which the Services are provided.

GLOBAL SPORTS EVENTS S.L. EXCLUDES ANY RESPONSIBILITY FOR DAMAGES OF ANY NATURE THAT MAY BE DUE TO THE LACK OF AVAILABILITY OR CONTINUITY OF THE FUNCTIONING OF THE PORTAL AND THE SERVICES, DEFRAUDING REGARDING THE USE THAT USERS MAY BE ABLE TO ATTRIBUTE TO THE PORTAL AND THE SERVICES, TO THE FALLIBILITY OF THE PORTAL AND THE SERVICES, AND IN PARTICULAR, ALTHOUGH NOT EXCLUSIVELY TO FAILURE TO ACCESS THE DIFFERENT WEB PAGES OF THE PORTAL OR THOSE FROM WHICH THE SERVICES ARE PROVIDED.

8.1.2. Privacy and security in the use of the Portal and the Services

GLOBAL SPORTS EVENTS S.L. does not guarantee privacy and security in the use of the Portal and the Services and, in particular, does not guarantee that unauthorised third parties may have knowledge of the class, conditions, characteristics and circumstances of the use that Users make of the Portal and the Services.

GLOBAL SPORTS EVENTS S.L. EXCLUDES ALL RESPONSIBILITY FOR DAMAGES OF ANY KIND THAT COULD BE DUE TO ANY KNOWLEDGE THAT UNAUTHORISED THIRD PARTIES MAY HAVE OF THE CLASS, CONDITIONS, CHARACTERISTICS AND CIRCUMSTANCES OF THE USE THAT USERS MAKE OF THE PORTAL AND THE SERVICES.

8.2. Exclusion of guarantees and responsibility for the Contents

8.2.1. Quality

GLOBAL SPORTS EVENTS S.L. does not control or guarantee the absence of viruses or other elements in the Contents that could cause alterations in your computer system (software and hardware) or in the electronic documents and files stored in you computer system.
GLOBAL SPORTS EVENTS S.L. EXCLUDES ANY RESPONSIBILITY FOR DAMAGES OF ANY KIND THAT COULD BE DUE TO THE PRESENCE OF VIRUSES OR THE PRESENCE OF OTHER ELEMENTS IN THE CONTENTS THAT COULD CAUSE ALTERATIONS IN THE COMPUTER SYSTEM, ELECTRONIC DOCUMENTS OR FILES OF THE USERS.

8.2.2. Legality, reliability and usefulness

GLOBAL SPORTS EVENTS S.L. does not guarantee the legality, reliability and usefulness of the Contents.

GLOBAL SPORTS EVENTS S.L EXCLUDES ANY RESPONSIBILITY FOR DAMAGES OF ANY KIND THAT COULD BE DUE TO THE TRANSMISSION, SPREAD, STORAGE, MAKING AVAILABLE, RECEPTION, OBTAINING OR ACCESS TO THE CONTENTS AND, IN PARTICULAR, ALTHOUGH NOT IN AN EXCLUSIVE MANNER, FOR DAMAGES THAT COULD BE DUE TO (A) FAILURE TO COMPLY WITH THE LAW, THE GOOD, MORAL CUSTOMS GENERALLY ACCEPTED OR PUBLIC ORDER AS A CONSEQUENCE OF THE TRANSMISSION, SPREAD, STORAGE, MAKING AVAILABLE, RECEPTION, OBTAINING OR ACCESS TO THE CONTENTS; (B) THE INFRINGEMENT OF INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS, BUSINESS SECRETS, CONTRACTUAL COMMITMENTS OF ANY TYPE, RIGHTS OF HONOUR, PERSONAL AND FAMILY PRIVACY AND A PERSON'S IMAGE, PROPERTY RIGHTS AND ALL RIGHTS OF ANY OTHER NATURE BELONGING TO A THIRD PARTY AS THE CONSEQUENCE OF THE TRANSMISSION, SPREAD, STORAGE, MAKING AVAILABLE, RECEPTION, OBTAINING OR ACCESS TO THE CONTENTS; (C) THE EXECUTION OF ACTS OF UNFAIR COMPETITION AND ILLEGAL ADVERTISING AS THE CONSEQUENCE OF THE TRANSMISSION, SPREAD, STORAGE, MAKING AVAILABLE, RECEPTION, OBTAINING OR ACCESS TO THE CONTENTS; (D) LACK OF TRUTH, EXACTITUDE, THOROUGHNESS, RELEVANCE AND/OR TOPICALITY OF THE CONTENTS; (E) INADEQUACY FOR ANY TYPE OF PROPOSAL AND THE DEFRAUDING OF EXPECTATIONS GENERATED BY THE CONTENTS; (F) NON-FULFILMENT, DELAY IN FULFILMENT, DEFECTIVE FULFILMENT OR TERMINATION FOR ANY REASON OF THE OBLIGATIONS CONTRACTED BY THIRD PARTIES AND CONTRACTS MADE WITH THIRD PARTIES VIA OR FOR ACCESS TO THE CONTENTS; (G) MISTAKES AND DEFECTS OF ANY KIND IN THE CONTENTS TRANSMITTED, SPREAD, STORED, MADE AVAILABLE OR IN ANY OTHER WAY TRANSMITTED OR MADE AVAILABLE, RECEIVED, OBTAINED OR THOSE THAT HAVE BEEN ACCESSED VIA THE PORTAL OR THE SERVICES.

8.3. Exclusion of guarantees and responsibility for the services provided by third parties via the Portal

8.3.1. Quality

GLOBAL SPORTS EVENTS S.L. does not guarantee the legality, reliability and usefulness of the services provided by third parties via the Portal.

EXCLUDES ANY RESPONSIBILITY FOR DAMAGES OF ANY KIND THAT COULD BE DUE TO THE SERVICES PROVIDED BY THIRD PARTIES VIA THE PORTAL AND, IN PARTICULAR, ALTHOUGH NOT IN AN EXCLUSIVE MANNER, FOR DAMAGES THAT COULD BE DUE TO (A) FAILURE TO COMPLY WITH THE LAW, THE GOOD, MORAL CUSTOMS GENERALLY ACCEPTED OR PUBLIC ORDER AS A CONSEQUENCE OF THE PROVISION OF SERVICES BY THIRD PARTIES VIA THE PORTAL; (B) THE INFRINGEMENT OF INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS, BUSINESS SECRETS, CONTRACTUAL COMMITMENTS OF ANY TYPE, DE LOS RIGHTS OF HONOUR, PERSONAL AND FAMILY PRIVACY AND A PERSON'S IMAGE, PROPERTY RIGHTS AND ALL RIGHTS OF ANY OTHER NATURE BELONGING TO A THIRD PARTY AS THE CONSEQUENCE OF THE PROVISION OF SERVICES BY THIRD PARTIES VIA THE PORTAL; (C) THE EXECUTION OF ACTS OF UNFAIR COMPETITION AND ILLEGAL ADVERTISING THE CONSEQUENCE OF THE PROVISION OF SERVICES BY THIRD PARTIES VIA THE PORTAL; (D) LACK OF TRUTH, EXACTITUDE, THOROUGHNESS, RELEVANCE AND/OR TOPICALITY OF THE CONTENTS TRANSMITTED, SPREAD, STORED, RECEIVED, OBTAINED, MADE AVAILABLE OR ACCESSIBLE BY MEANS OF THE SERVICES PROVIDED BY THIRD PARTIES VIA THE PORTAL; (E) INADEQUACY FOR ANY TYPE OF PROPOSAL AND THE DEFRAUDING OF EXPECTATIONS GENERATED BY THE SERVICES PROVIDED BY THIRD PARTIES VIA THE PORTAL; (F) NON-FULFILMENT, DELAY IN FULFILMENT, DEFECTIVE FULFILMENT OR TERMINATION FOR ANY REASON OF THE OBLIGATIONS CONTRACTED BY THIRD PARTIES AND CONTRACTS MADE WITH THIRD PARTIES IN RELATION TO OR REGARDING THE PROVISION OF SERVICES VIA THE PORTAL; (G) MISTAKES AND DEFECTS OF ANY KIND IN THE SERVICES PROVIDED BY THIRD PARTIES VIA THE PORTAL.

8.4. Exclusion of guarantees and responsibility for the services and contents housed outside the Portal

The Portal places technical link devices at the disposal of the Users (such as, among others, links, banners, buttons), directories and search tools that allow Users to access web sites belonging to and/or managed by third parties (hereinafter, "Linked Sites"). The sole object of the installation of these links, directories and search tools in the Portal is to make it easier for Users to search for and access the information available on the Internet. GLOBAL SPORTS EVENTS S.L. does not offer products and services available in the Linked Sites nor does it commercialise them itself or by means of third parties. Neither does GLOBAL SPORTS EVENTS S.L. previously control, approve, watch over the products and services, contents, information, data, files, products or any class of material existing in the Linked Sites or make them its own. The User, therefore, has to exercise extreme prudence in the valuation and use of the services, information, data, files, products or any class of material existing in the Linked Sites.

GLOBAL SPORTS EVENTS S.L. DOES NOT GUARANTEE NOR DOES IT ASSUME ANY TYPE OF RESPONSIBILITY FOR DAMAGES OF ANY KIND THAT COULD BE DUE TO (A) THE FUNCTIONING, AVAILABILITY, ACCESSIBILITY OR CONTINUITY OF THE LINKED SITES; (B) MAINTENANCE OF THE SERVICES, INFORMATION, DATA, FILES, PRODUCTS OR ANY CLASS OF MATERIAL EXISTING IN THE LINKED SITES; (C) THE PROVISION OR TRANSMISSION OF THE SERVICES, INFORMATION, DATA, FILES, PRODUCTS OR ANY CLASS OF MATERIAL EXISTING IN THE LINKED SITES; (D) THE QUALITY, LEGALITY, RELIABILITY AND USE OF THE SERVICES, INFORMATION, DATA, FILES, PRODUCTS OR ANY CLASS OF MATERIAL EXISTING IN THE LINKED SITES, UNDER THE SAME TERMS AND WITH THE SAME SCOPE AS LAID DOWN IN GENERAL CONDITIONS 7.2 AND 7.3 WITH RESPECT TO THE CONTENTS AND SERVICES PROVIDED BY THIRD PARTIES VIA THE PORTAL.

8.5. Exclusion of guarantees and responsibility for the use of the Portal, the Services and Contents by the users

GLOBAL SPORTS EVENTS S.L. does not have any obligation regarding the use that Users make of the Portal, the Services or the Contents nor does it control this. In particular, GLOBAL SPORTS EVENTS S.L. does not guarantee that users will make use of the Portal, the Services or the Contents in accordance with these General Conditions and, where applicable, the Particular Conditions applicable, nor that they will do so in a diligent and prudent manner. Neither does GLOBAL SPORTS EVENTS S.L. have the obligation to verify or not verify the identity of the Users, or the truth, validity, thoroughness and/or authenticity of the data that the Users provide on same to other Users.

GLOBAL SPORTS EVENTS S.L. EXCLUDES ANY RESPONSIBILITY FOR DAMAGES OF ANY KIND THAT COULD BE DUE TO THE USE OF THE SERVICES OR THE CONTENTS ON THE PART OF THE USERS OR THAT MAY BE DUE TO A LACK OF TRUTH, VALIDITY, THOROUGHNESS AND/OR AUTHENTICITY OF THE DATA THAT THE USERS PROVIDE ON SAME TO OTHER USERS ON THEMSELVES AND, IN PARTICULAR, ALTHOUGH NOT IN AN EXCLUSIVE MANNER, FOR DAMAGES OF ANY KIND THAT COULD BE DUE TO THE SUPPLANTING OF ANY THIRD PARTY MADE BY A USER IN ANY CASE OF COMMUNICATION MADE VIA THE PORTAL, OR THE USE OF THE PORTAL, SERVICES OR CONTENTS BY USERS.

9. NO LICENCE

GLOBAL SPORTS EVENTS S.L. does not concede any licence or authorisation of any kind for the use of its industrial and intellectual property rights or of any other property or rights related to the Portal, services or contents.

10. REFUSAL AND WITHDRAWAL OF ACCESS TO THE PORTAL AND/OR THE SERVICES

GLOBAL SPORTS EVENTS S.L. reserves the right to refuse or withdraw access to the Portal and/or the services, at any time and without the need for any forewarning to those Users who fail to comply with the General or Particular Conditions applicable.

11. PROCEDURE IN THE CASE OF VIOLATION OF INTELLECTUAL PROPERTY RIGHTS

In the case of any User or third party considering that any of the Contents have been introduced in the Portal and so violating their intellectual property rights, they should notify GLOBAL SPORTS EVENTS S.L. in writing of this giving the following information: (a) personal data: name, address, telephone number and e-mail address of the claimant; (b) authentic signature or equivalent, with the personal data on the holder of the intellectual property rights that have supposedly been infringed or of the person authorised to act for and on behalf of e holder of the intellectual property rights that have supposedly been infringed; (c) a precise and complete indication of the Contents protected by means of the intellectual property rights that have supposedly been infringed, together with his location in the Portal; (d) a clear and express declaration that the use of the Contents indicated was made without the consent of the holder of the intellectual property rights that have supposedly been infringed; (e) a clear and express declaration under the responsibility of the claimant that the information provided in the written notification is exact and that the use of the contents constitutes a violation of his intellectual property rights.

12. DURATION AND TERMINATION

The provision of the Portal service and the other Services is, in principle, of an indefinite duration. However, GLOBAL SPORTS EVENTS S.L. , is authorised to terminate or suspend the provision of the Portal service and/or any of the Services at any time, without prejudice to that which is stated in this respect in the corresponding Particular Conditions. When reasonably possible, GLOBAL SPORTS EVENTS S.L. will give previous warning of the termination or suspension of the provision of the Portal service and the other Services.

13. THE LAW APPLICABLE AND JURISDICTION

These General Conditions are governed by Spanish law. GLOBAL SPORTS EVENTS S.L. and the Users, expressly renouncing any other rights that they may have, submit themselves to the Courts and Tribunals of Madrid in the case of any controversy.
